The Russian text prevails. Kazakh and English translations are provided for convenience.

These Tariffs determine who pays for the Operator’s services, when and in what amount, how the amount is calculated, recorded and changed, the procedure for preparing settlement documents and the consequences of late payment. Capitalised terms have the meanings established in section 2 of the Agreement.

1. Monetisation Model

1.1. The Operator provides Participants with information technology services within the meaning of section 3 of the Agreement. These Tariffs determine the amount and payment procedure for the Fee for those services.

1.2. Payment is for the Operator’s service, not for the goods, work or services constituting the subject matter of the Parties’ Contract. The Operator is not a party to the Parties’ Contract and does not handle settlements between Participants.

1.3. The Fee is the price of the Operator’s services under a contract for services for consideration (Chapter 33 of the Civil Code of the Republic of Kazakhstan). Calculating the price as a percentage of the value of goods under a Transaction is solely a method of determining the service price and does not mean that the Operator participates in the revenue of the parties to the Transaction.

1.3-1. The Operator does not perform legal acts or transactions on the Participant’s instructions, does not act in the Participant’s name and does not act at the Participant’s expense. Accordingly, the Parties’ relationship does not constitute a mandate (Chapter 41 of the Civil Code) or commission (Chapter 43 of the Civil Code), and the Operator is not the Participant’s attorney, commission agent, agent, broker or other intermediary.

1.3-2. The Operator does not participate in settlements between the parties to a Transaction and does not deduct the Fee from funds due to the parties. The Participant pays the Fee as a separate payment based on the Operator’s invoice.

1.4. This version provides for charges for only one category: sellers in goods transactions. Terms for other categories of Participants are established by sections 12 and 13.

2. Fee Rates

2.1. Principal rates:

Transaction type Standard rate Rate during the launch promotion
Domestic 1,0 % 0,5 %
Foreign trade 2,0 % 1,0 %

2.2. A Domestic Transaction is a Transaction meeting both of the following conditions: the seller and buyer are residents of the Republic of Kazakhstan; the agreed place of delivery of the goods is within the Republic of Kazakhstan.

2.3. A Foreign Trade Transaction is any Transaction that does not meet both characteristics of a Domestic Transaction, including a Transaction with a non-resident or one providing for delivery of goods outside the Republic of Kazakhstan.

2.4. The Transaction type and applicable rate are determined on the date of Agreement on Commercial Terms based on information on the parties and the agreed place of delivery. The rate is fixed together with the Transaction in accordance with clause 15.3 of the Agreement.

2.5. If, after Agreement on Commercial Terms, the parties change circumstances determining the Transaction type, the change is documented in accordance with the Agreement and the Marketplace Rules. The applicable rate for an existing Transaction is not revised as a result (clause 10.3-2 of the Agreement) and is not increased without the consent of both parties to the Transaction, confirmed by an authorised employee of the Operator.

3. Payer

3.1. The Fee payer under a goods Transaction is the seller, regardless of its residency.

3.2. Buyers do not pay the Fee under a goods Transaction.

3.3. Individual Agreement with a non-resident seller. A Participant that is not a resident of the Republic of Kazakhstan may use the Platform as a seller, including creating and publishing Lots, receiving and sending Offers, Agreement on Commercial Terms and creating Transactions. Further processing of that Transaction is suspended under clause 15.7-2 of the Agreement until an Individual Agreement is concluded.

3.3-1. Special terms for the provision of and payment for the Operator’s services by a non-resident seller are documented in an Individual Agreement. The Individual Agreement defines the Transactions it covers, the scope of services, Fee currency, contract amount or maximum amount, payment procedure and deadline, bank details and other terms necessary for settlements with a non-resident.

3.3-2. The Individual Agreement may reproduce the applicable terms of the Accession Agreement, Platform Use Rules, Marketplace Rules and these Tariffs or incorporate them by express reference. In the event of a conflict, the Individual Agreement prevails only as regards the special terms it expressly establishes for the relationship with the relevant non-resident seller.

3.3-3. An Individual Agreement may cover one or more Transactions of a non-resident seller, including a Transaction for which Agreement on Commercial Terms occurred before it was concluded, if that Transaction is expressly identified in the Individual Agreement and the Participant has consented to applying its terms to that Transaction.

3.3-4. A non-resident seller’s accession to the Agreement, publication of a Lot, sending or receiving an Offer and Agreement on Commercial Terms do not in themselves create a monetary obligation of that Participant to the Operator. The Fee arises on the basis of a concluded Individual Agreement when the Fee Event provided for therein occurs.

3.3-5. After Agreement on Commercial Terms with a non-resident seller, processing of the relevant Transaction is suspended, and the Operator approaches the seller with a proposal to conclude an Individual Agreement for that Transaction or several Transactions. The rates established in section 2 apply to the Individual Agreement unchanged. The applicable rate is determined on the date of Agreement on Commercial Terms under clause 11.3 and does not change because the Individual Agreement is concluded after that date. No monetary obligation of the non-resident seller to the Operator arises before conclusion of the Individual Agreement.

3.3-6. Suspension applies only to the relevant Transaction and does not restrict the non-resident seller’s corporate account. A signed Individual Agreement applies only to Transactions expressly specified therein and does not automatically extend to other Transactions of the same seller.

3.4. One Transaction is documented with one seller. If goods are sold by several sellers, a separate Transaction is created for each seller and the Fee is calculated separately.

4. Calculation Base

4.1. Formula

Base = Calculation Volume × Unit Price Calculation Volume = Volume under the Parties’ Contract × (1 − 0,15)

The Calculation Volume equals eighty-five percent of the volume under the Parties’ Contract.

4.2. The Standard Volume Deduction is 15 %. This is a constant value established by these Tariffs and applied to all Transactions regardless of whether the Parties’ Contract provides for a permissible quantity deviation, its amount or direction. The deduction value from the Parties’ Contract is not read or used in calculating the Fee.

4.3. Purpose of the deduction. The Operator does not calculate the Fee on volume that may not be shipped at the time the Fee Event occurs. The Standard Volume Deduction is used instead of assessing the terms of each Parties’ Contract and ensures a uniform calculation for all Participants.

4.4. The deduction is not a discount and does not permanently reduce the Fee. Volume actually performed in excess of the Calculation Volume is taken into account during reconciliation under section 8. Upon full performance of the Parties’ Contract, an additional charge on the difference is made in the ordinary manner.

4.4-1. The amount of the Standard Volume Deduction is changed by amending these Tariffs under section 15 and does not apply to Transactions for which Agreement on Commercial Terms occurred before the change entered into force.

4.5. The source of volume and price information is the Parties’ Contract; if that information is unavailable, the Agreed Commercial Terms are used.

4.5-1. A discrepancy between the Agreed Commercial Terms and the confirmed details of the Parties’ Contract is resolved by the parties before the Calculation is generated. If the discrepancy is identified after generation of the Calculation, it is resolved under section 8.

4.6. Appendices and Trading Operations do not change the calculation base. The Fee is calculated once for each Transaction based on the volume under the Parties’ Contract. Appendices reserve volume within the volume under the Parties’ Contract, and Trading Operations deduct it upon closure; neither creates independent grounds for charging the Fee or results in a repeat charge. The volume actually performed is determined from closed Trading Operations or, where performance occurs outside the Platform, from the buyer’s confirmation under clause 13.2 of the Agreement, and is used for reconciliation under section 8. A reduction in the volume under the Parties’ Contract is taken into account only upon an agreed amendment confirmed by the Operator under clause 8.7; any other discrepancy between contractual and performed volume is considered under clauses 8.1–8.2.

4.7. The Calculation Volume is fixed when the “Contractual Basis Confirmed” event occurs and is used for subsequent reconciliation upon Completion of the Transaction.

4.8. Taxes included by the parties in the price of goods under the Parties’ Contract are not excluded from the base. A tax is excluded from the base only if expressly provided for by these Tariffs, the Individual Agreement or another written agreement between the payer and the Operator. The Parties’ Contract does not determine payment terms for the Operator’s services: the Operator is not a party to it. Display of a calculation on screen does not substitute for such a term.

4.8-1. Rounding. The Calculation Volume is rounded to three decimal places, and the base and Fee amount to two decimal places. Rounding is performed according to mathematical rules at each calculation step in the specified sequence.

4.9. Recording the Calculation

4.9.1. When the Fee Event occurs, the Platform generates a Fee Calculation: a record containing the volume under the Parties’ Contract, the Standard Volume Deduction applied, Calculation Volume, price and currency, base, rate applied and version of these Tariffs, information on application of the launch promotion, Transaction type, official exchange rate, reference date for determining the exchange rate and date of the quotation actually applied, Fee amount in the price currency and in tenge, payer, date of Agreement on Commercial Terms and date of the Fee Event.

4.9.2. The Calculation cannot be changed. Recalculation, additional charges, reversal and error correction are documented in a new version of the Calculation; previous versions are retained.

4.9.3. The Platform generates the Calculation using Transaction information: volume, price and currency of the Parties’ Contract, Transaction type (clauses 2.2–2.3), the rate fixed on the date of Agreement on Commercial Terms, the Standard Volume Deduction and the exchange rate determined under clauses 6.3–6.3-2. Before the Fee Event, the Fee amount is displayed as a preliminary calculation. Each new version of the Calculation is based on the latest effective version; only information relevant to its grounds—reconciliation of the volume actually performed, a confirmed amendment to the Parties’ Contract under clause 8.7 or correction of inaccurate Transaction information—is changed; the rest is retained. The rate and Standard Volume Deduction remain unchanged, except for correction under clause 4.9.3-1.

4.9.3-1. If the Calculation was generated using inaccurate Transaction information, the Operator corrects the information on documented grounds, specifies the values before and after correction, and notifies the payer. Inaccurate information also includes the Transaction type, rate, Standard Volume Deduction and exchange rate incorrectly determined by the Platform. A correction may not be used to apply a rate that was not effective on the date of Agreement on Commercial Terms or to revalue amounts due to subsequent changes in market conditions or the official exchange rate.

4.9.4. The Calculation is displayed in the relevant Transaction and is available to the payer throughout the retention period for settlement documents established by clause 9.4.1.

5. When the Obligation Arises

5.1. A Fee Event is an action or decision upon whose occurrence these Tariffs make the obligation to pay for the Operator’s services arise. For a seller resident in the Republic of Kazakhstan, the Fee Event occurs:

  1. when the “Contractual Basis Confirmed” event occurs: confirmation of the details of the Parties’ Contract and the agreed terms by the other party to the Transaction using one of the methods provided for in clause 11.6 of the Agreement; or
  2. when the Operator establishes the existence of an unrecorded Related Transaction in accordance with section 16 of the Agreement.

5.1-1. Publication of a Lot or Request, negotiations, sending and confirming an Offer, Agreement on Commercial Terms and unilateral entry of details of the Parties’ Contract do not in themselves create an obligation to pay the Fee.

5.1-2. For a non-resident seller, the time at which the monetary obligation arises is determined by clauses 3.3–3.3-6 of these Tariffs and the relevant Individual Agreement.

5.2. Entry of the details of the Parties’ Contract by one party does not give rise to an obligation.

5.3. Before the Fee Event occurs, the calculation displayed on the Platform is preliminary and informational and does not constitute a debt.

5.4. Launching a Trading Operation confirms the start of performance of the Parties’ Contract and does not affect when the obligation arises.

5.5. The absence of Trading Operations does not in itself terminate or reduce the obligation to pay the Fee if the Fee Event has already occurred.

5.6. If the other party submits a reasoned objection to the entered details of the Parties’ Contract, the Fee Event based on confirmation of the Contractual Basis is not deemed to have occurred until the disagreement is resolved under the Marketplace Rules. No Fee accrues for that period.

6. Currency and Exchange Rate

6.1. The Fee is calculated in the currency in which the price under the Parties’ Contract is expressed and is charged for payment in tenge. Both amounts are recorded in the Calculation.

6.2. Conversion is made at the official exchange rate of the National Bank of the Republic of Kazakhstan:

  1. upon confirmation of the Contractual Basis: as of the date of the “Contractual Basis Confirmed” event;
  2. upon establishment of an unrecorded Related Transaction: as of the date of Agreement on Commercial Terms.

6.2-1. If no official exchange rate was set for the relevant date, the last rate set before that date applies.

6.3. If the price currency remains unchanged, the exchange rate determined in the initial Calculation is retained and applies to all subsequent changes in the Fee amount for the relevant Transaction, both recalculations and additional charges. This clause does not prevent correction of an incorrectly determined exchange rate under clause 4.9.3-1.

6.3-1. If a change in the price currency is agreed by the parties to the Transaction and confirmed under clause 10.3-1 of the Agreement, the official exchange rate for the new currency as of the original exchange-rate reference date applies; if no quotation exists for that date, the last rate set before it applies. The numeric exchange-rate value for the previous currency is not carried over to the new currency.

6.3-2. If the National Bank of the Republic of Kazakhstan does not set an official exchange rate for the new currency, the conversion procedure is agreed with the payer before approval of the new Calculation version. The Operator does not set an arbitrary exchange rate.

6.3-3. The Calculation separately records the date of the Fee Event, the reference date for determining the exchange rate and the date of the quotation actually applied.

6.4. Exchange-rate differences arising between the invoice presentation date and payment date are not subject to recalculation.

6.5. Settlements with non-resident Participants. The Fee payable by a non-resident seller is calculated and paid in the currency specified in the Individual Agreement. For accounting purposes, the amount is converted into tenge at the official exchange rate of the National Bank of the Republic of Kazakhstan as of the date of the Fee Event.

6.6. Settlements with a non-resident seller are conducted in compliance with the currency legislation of the Republic of Kazakhstan. If the Individual Agreement is subject to record registration or requires another currency-control procedure, monetary obligations under it are performed in compliance with the relevant procedure and statutory time limits. A non-resident’s use of Platform functionality under the Accession Agreement is not in itself restricted by those procedures.

6.7. The payment period specified in the Individual Agreement is the period within which the Operator ensures receipt of the Fee into its bank account in the Republic of Kazakhstan in accordance with the repatriation requirement.

7. Taxation

7.1. The Operator is a participant in the Astana Hub International Technopark of IT Startups: participant registration certificate No. 3252 dated 9 March 2026, valid until 16 February 2029. The tax treatment of the Operator’s services is determined in accordance with the legislation of the Republic of Kazakhstan, taking into account the Operator’s status, the nature of the relevant service and its recipient’s status.

7.2. The rates established in section 2 exclude value added tax. Under the exemption applicable to the Operator, no value added tax is charged on the Operator’s services. The exemption applies both to services rendered to Participants resident in the Republic of Kazakhstan and to non-resident Participants.

7.3. If the exemption does not apply to a specific service, the tax amount and total payable are disclosed to the payer in the Calculation and settlement documents before payment becomes due.

7.4. If the Operator loses its exemption entitlement or legislation requires tax to be charged on the relevant service, the Fee amount is changed through the Tariff amendment procedure with prior notice to Participants. The changed Fee amount applies only to Transactions for which Agreement on Commercial Terms occurred after the new Tariff version entered into force. Value added tax, if chargeable, is included in the Fee amount.

8. Recalculation, Additional Charges and Reversal

8.1. General Rule

8.1.1. Upon Completion of the Transaction, the Operator reconciles the volume actually performed against the Calculation Volume.

8.1.2. If the volume actually performed exceeds the current Calculation Volume, an additional Fee is charged on the excess. The rate and Standard Volume Deduction under clause 4.9.3, the price effective for the Transaction at reconciliation, and the exchange rate determined under clauses 6.3–6.3-2 apply. The additional charge is documented in a new Calculation version, a Certificate and an invoice.

8.1.2-1. Because the Calculation Volume is determined using the Standard Volume Deduction (clause 4.2), an additional charge is made for each Transaction performed to more than eighty-five percent of the volume under the Parties’ Contract and is not an indication of a violation. The Operator may combine additional charges for several Transactions of one payer into one Certificate and invoice under clause 9.3.3.

8.1.3. If the volume actually performed is less than the Calculation Volume, the Fee is not recalculated except in the cases provided for by clause 8.2.

8.2. Grounds for Reducing the Fee

8.2.1. The Fee is reduced in proportion to the unperformed volume if non-performance is caused by:

  1. force majeure circumstances;
  2. the introduction of a prohibition or restriction on export or import of the goods imposed after the “Contractual Basis Confirmed” event;
  3. crop destruction or damage due to natural phenomena;
  4. an accident making shipment impossible.

8.2.2. The list of grounds is exhaustive.

8.2.2-1. This section governs reduction of the Fee due to non-performance of volume. The consequences of an amendment to the Parties’ Contract agreed by the parties and confirmed by the Operator are determined by clause 8.7.

8.2.3. The following are not grounds for reducing the Fee:

  1. short delivery attributable to the seller;
  2. the buyer’s refusal to accept goods due to the seller’s breach of the Parties’ Contract;
  3. changes in market conditions, including the price of the goods;
  4. a party’s lack of funds.

8.3. Application Procedure

8.3.1. The payer submits an application for recalculation to the Operator within thirty calendar days of Completion of the Transaction, attaching documents confirming the volume actually performed and the existence of grounds under clause 8.2.1.

8.3.2. The Operator considers the application within fifteen business days of receiving the complete set of documents and makes one of the following decisions: to recalculate; to refuse recalculation, giving reasons; or to request additional information.

8.3.2-1. When a request for additional information is sent, the period established by clause 8.3.2 is suspended until the Operator receives the requested documents. The request specifies exactly which documents are required and which circumstance they are needed to establish.

8.3.2-2. For an application requiring examination of a significant volume of documents, the review period may be extended once by no more than ten business days, with notice to the payer stating the reason for the extension.

8.3.2-3. Recalculation is not performed solely on the payer’s application. The basis is the documented volume actually performed.

8.3.3. An application for recalculation is not accepted after the period established in clause 8.3.1 expires. This time limit does not restrict error correction under clause 4.9.3-1 or lawful remedies for protection of rights.

8.3.4. Reduction of the Fee does not preclude subsequent review of the unperformed volume where the indicators specified in clause 16.5 of the Agreement exist, including signs that the relevant volume was sold to the same counterparty outside the Platform.

8.4. Reversal upon Cancellation of a Transaction

8.4.1. Upon cancellation of a Transaction, the Fee is reversed in full if performance of the Parties’ Contract has not begun, or as regards the unperformed volume if performance has begun.

8.4.1-1. Reversal of the Fee upon cancellation of a Transaction does not end the control period established by clause 16.2-1 of the Agreement or deprive the Operator of the right to claim the Fee under section 16 of the Agreement if a Related Transaction is established after cancellation.

8.4.2. The Fee is not reversed if a Related Transaction not recorded in the relevant Transaction on the Platform is established (section 16 of the Agreement).

8.4.3. Reversal is made when there is documentary confirmation that the Transaction did not take place or the relevant volume was not performed. Reversal is not made solely on the payer’s application.

8.4.4. A Transaction for which the Operator has established an unrecorded Related Transaction enters a final state.

8.5. Offset upon Renegotiation of Terms

8.5.1. If a Transaction is cancelled to change commercial terms and a new Agreement on Commercial Terms is reached between the same Participants for the same goods within thirty calendar days, the Fee for the new Transaction is calculated with an offset of the amount charged and not reversed under the cancelled Transaction.

8.5.2. Charging the Fee twice for the same volume is prohibited.

8.5.3. Any overpayment resulting from the offset is refunded or credited against future payments at the Participant’s choice.

8.6. Error Correction and Refund

8.6.1. The Operator may correct a technical calculation error regardless of whose favour it was made in. The correction is documented in a new Calculation version stating the reason; the Participant is notified and the previous version is retained.

8.6.2. An overpayment is refunded or credited against future payments at the Participant’s choice. This rule applies to all reductions in charges provided for by this section.

8.7. Agreed Amendment of the Parties’ Contract

8.7.1. If, after the Calculation is generated, the parties to the Transaction change the price, currency, volume or other terms affecting the value of the Parties’ Contract, and the change is recorded on the Platform after confirmation by an authorised employee of the Operator under clause 10.3-1 of the Agreement, the Fee is calculated using the values agreed by the parties and confirmed by the Operator.

8.7.2. Recalculation is documented in a new Calculation version under clause 4.9.3: only the terms actually changed are amended; the rate and Standard Volume Deduction are retained (except for correction under clause 4.9.3-1), and the exchange rate is determined under clauses 6.3–6.3-2.

8.7.3. A change increasing the value of the Parties’ Contract results in an additional Fee charge equal to the positive difference between the Fee calculated under the terms agreed by the parties and confirmed by the Operator and the amount charged previously, taking account of all prior adjustments. The additional charge is made regardless of whether the volume changed.

8.7.3-1. An additional charge under this clause and an additional charge for excess volume actually performed (clause 8.1.2) are made on different grounds. The same difference is not charged twice: if already reflected on one ground, it is not charged again on the other.

8.7.4. If a reduction in the value of the Parties’ Contract is agreed by the parties to the Transaction and confirmed by an authorised employee of the Operator in the prescribed manner, the Fee is reduced in proportion to the reduction in its calculation base, with the applicable rate retained. Recalculation is made using the agreed amended terms and documented in a new Calculation version, with previous versions retained. The difference between the previously charged and new Fee amounts is documented as a reduction in the charge and corresponding adjustments to settlement documents. If the Fee has already been paid, the resulting overpayment is refunded or credited against future payments at the Participant’s choice.

8.7.4-1. A reduction in the volume actually performed without an amendment to the Parties’ Contract agreed by the parties and confirmed by the Operator does not in itself constitute grounds to reduce the Fee under this clause. The consequences of such short delivery are determined by clauses 8.1–8.2 of these Tariffs.

8.7.4-2. Re-recording the same confirmed change does not create a further reduction of the Fee.

8.7.6. If a change is made before the Calculation is generated, it is taken into account in the initial Calculation and is not governed by this clause.

9. Settlement Procedure

9.1. Calculation and Objections

9.1.1. Settlements are based on the Fee Calculation generated under clause 4.9 and displayed in the relevant Transaction.

9.1.2. The payer is notified of generation of the Calculation in the personal account and at the email address specified in the corporate profile.

9.1.3. The payer may submit reasoned objections to the Calculation within five business days of notification. Attaching documents is mandatory only where a document is necessary to substantiate the objection and is held by the payer.

9.1.4. The Operator considers an objection within five business days of receipt. For the disputed part, the Operator defers preparation of documents and suspends collection until the review is completed. The undisputed part may be documented separately by a Certificate and invoice.

9.1.5. The accrual of the Fee is determined by section 5 and does not depend on submission of objections. Expiry of the period established in clause 9.1.3 does not deprive the payer of the right to apply for recalculation under section 8, report an error or protect its rights in court.

9.2. Certificate and Invoice

9.2.1. After expiry of the period established in clause 9.1.3 or, if objections are received, after their consideration, the Operator prepares a Certificate of Work Performed (Services Rendered) and issues an invoice for payment.

9.2.2. The Certificate and invoice are prepared on the basis of the current Calculation version and contain a number and date, a list of Transactions and, for each Transaction, its type, Calculation Volume, price, base, rate applied and Fee amount.

9.2.3. The Certificate is prepared electronically in accordance with the procedure established by the legislation of the Republic of Kazakhstan. At the Participant’s written request, the Operator additionally provides a paper copy of the Certificate.

9.2.4. The Certificate and invoice are sent to the Participant’s personal account and the email address specified in the corporate profile and are deemed received on the next business day after sending, unless earlier receipt is confirmed by the Platform.

9.2.5. The invoice may be generated automatically by the system; dispatch and calculation accuracy are controlled by the Operator.

9.2.6. If the Participant does not submit reasoned objections to the Certificate within five business days of receipt, the services are deemed accepted to the extent stated in the Certificate within the Parties’ contractual relationship. This rule does not replace the mandatory particulars and signatures of a primary accounting document required by law. Objections considered under clause 9.1.4 are not subject to reconsideration.

9.3. Payment Period and Procedure

9.3.1. An invoice is payable within ten business days of receipt.

9.3.2. The obligation is deemed performed when funds are credited to the Operator’s bank account.

9.3.3. The settlement period is a calendar month. The Operator may combine Fees for several Transactions of one Participant for the settlement period into a single Certificate and invoice. Combining them does not shorten the objection periods established by clauses 9.1.3 and 9.2.6 for each included Transaction.

9.3.4. Other documents required by the legislation of the Republic of Kazakhstan on accounting and taxation are prepared by the Operator within the periods established by that legislation.

9.4. Retention of Settlement Documents

9.4.1. Fee Calculations, Certificates of Work Performed (Services Rendered), invoices and information on payments received are retained by the Operator for at least five years from the end of the year in which the relevant document was prepared. The period is established taking account of Article 206 of the Tax Code of the Republic of Kazakhstan and accounting legislation.

9.4.2. During the period established by clause 9.4.1, the Calculation and settlement documents are available to the payer in the settlements section of the personal account.

10. Consequences of Late Payment

10.1. If the payment deadline is missed, the Operator may charge a late-payment penalty of 0,1 % of the overdue amount for each calendar day of delay.

10.1-1. A late-payment penalty is charged by decision of the Operator and presented in a separate demand stating the period and calculation. The Platform does not charge late-payment penalties automatically. Failure to charge a penalty for a particular period does not constitute a waiver of the Operator’s right to charge it.

10.2. The late-payment penalty is calculated using the formula:

Late-payment penalty = Overdue debt amount × 0,001 × Number of calendar days of delay

No annual percentage or divisor is used in the calculation.

10.3. The aggregate late-payment penalty may not exceed 30 % of the overdue Fee under the relevant invoice. No fixed minimum late-payment penalty is established.

10.4. Where overdue debt exists, the Operator may restrict publication of new Lots and Requests and new Agreement on Commercial Terms until the debt is discharged. Before such restriction is activated, the existence and amount of the debt are confirmed by an authorised employee of the Operator. Previously created Transactions remain accessible to the extent necessary for their Completion or cancellation, and settlement documents and submissions remain fully accessible.

10.5. Payment of the late-payment penalty does not release the obligation to pay the Fee.

11. Launch Promotion

11.1. During the launch promotion, the rates in the third column of the table in clause 2.1 apply: 0,5 % for Domestic Transactions and 1,0 % for Foreign Trade Transactions.

11.2. The promotion runs through 31 December 2026 inclusive.

11.3. The rate applicable to a Transaction is determined on the date of Agreement on Commercial Terms (clause 15.3 of the Agreement). Termination of the promotion does not change the rate for Transactions for which Agreement on Commercial Terms occurred before the termination date.

11.4. The Operator notifies Participants at least thirty calendar days before termination of the promotion or changes to its terms. Early termination of the promotion is a material change within the meaning of clause 22.2 of the Agreement.

12. Services Centre

12.1. Under this version, Service Providers are granted access to the Services Centre free of charge.

12.2. The Operator does not withhold any amounts from settlements between the customer and the Service Provider under service contracts.

12.3. The Operator may introduce a charge for Service Providers’ access to the Services Centre and related functionality in the future. The scope, form and amount of that charge are determined by a new version of these Tariffs.

12.4. A charge is introduced no earlier than entry into force of a new Tariff version published in compliance with the period established in clause 22.2 of the Agreement. Such terms have no retroactive effect and no charges accrue for periods preceding the effective date.

12.5. The Platform interface must not create the impression that a charge is levied unless it is established by these Tariffs.

13. Buyers

13.1. Under this version, buyers in goods transactions do not pay the Fee. No other types of charge apply to buyers under this version either.

13.2. The Operator may introduce a charge for buyers in the future. Such charge is introduced by a new version of these Tariffs in accordance with the procedure established by clause 12.4.

13.3. The absence of a charge does not release the buyer from obligations established by the Agreement and the Marketplace Rules, including the prohibition on circumvention of the Platform.

14. Export of Transaction Materials

14.1. The first export of materials for each Transaction and one repeat export are provided free of charge in accordance with section 19 of the Agreement.

14.2. A charge for subsequent exports or urgent preparation of an export may be introduced in accordance with the procedure established by clause 12.4.

14.3. An export is provided free of charge at the request of a court, arbitration tribunal, notary or authorised state bodies.

15. Changes to Tariffs

15.1. The Tariffs are amended in accordance with section 22 of the Agreement.

15.2. Changes to rates or the Standard Volume Deduction, introduction of new types of charge and changes to settlement procedures are material changes and are published at least thirty calendar days before entering into force.

15.3. Each Tariff version is retained in an archive at a permanent address, indicating its publication and effective dates.

Version history. Current version — 1.0 of 16.09.2026, effective from 01.10.2026. No previous versions.
